TERMS & CONDITIONS

1. ABOUT THESE TERMS

This website, https://divinerefugegh.com, is operated by Divine Refuge Company Limited, trading as Divine Refuge (“we”, “us” or “our”).

These Terms set out the conditions for using our website. Provisions concerning goods or services apply to a transaction only where incorporated into the agreement with the customer. A separately agreed quotation, purchase order or project contract takes priority if it conflicts with these Terms, subject to applicable law.

2. OUR PRODUCTS AND SERVICES

Divine Refuge supplies mining chemicals, mechanical tools, equipment rentals, equipment components and spare parts, alongside transportation and civil construction services for mining companies across Ghana.

Website descriptions provide general information. Product specifications, quantities, availability, project scope and performance requirements must be confirmed for each transaction. Illustrative images do not necessarily depict the exact goods supplied or completed customer projects.

3. WEBSITE USE

You must use this website lawfully. You must not submit false or misleading enquiries, impersonate another person, upload malicious software, attempt unauthorised access or interfere with the website’s operation.

If you act for an organisation, you must have authority to provide its information and make any commitments on its behalf.

4. ENQUIRIES, QUOTATIONS AND ORDERS

Submitting an enquiry or requesting a quotation does not, by itself, create an order or require either party to proceed.

A quotation is valid for the period stated in it. The applicable specifications, price, payment arrangements and delivery or service schedule must be agreed before an order is confirmed. An automated acknowledgement of an enquiry is not confirmation of order acceptance.

Changes after acceptance require agreement in writing, including any effect on cost or timing.

5. PRICES AND PAYMENT

The accepted quotation or contract will state the currency, applicable taxes, transport charges and other agreed costs, together with any deposit, payment milestones and due dates.

Payment must be made using the method and account details confirmed through our official business channels. An invoice must reflect the agreed terms; issuing it does not by itself introduce new charges.

Any right to suspend work for overdue payment must be exercised under the agreement and applicable law, with any required notice.

6. PRODUCT SPECIFICATIONS AND SAFE USE

Customers should provide accurate part numbers, equipment models, quantities, intended applications and technical requirements. We will supply goods in accordance with the agreed description and specifications and our applicable legal obligations.

Chemicals, tools and equipment must be stored, handled and used by appropriately competent personnel in accordance with relevant safety instructions, safety data sheets and applicable requirements. Customer responsibilities do not remove our obligations as a supplier.

7. DELIVERY AND TRANSPORTATION

Collection points, delivery destinations, cargo details, loading and offloading responsibilities and delivery schedules will be agreed for each assignment.

Any arrangements concerning insurance, ownership and transfer of risk must be stated in the applicable agreement; otherwise, applicable law governs these matters.

Customers must disclose relevant cargo hazards and access restrictions. We will communicate material delivery difficulties and discuss appropriate arrangements, without limiting any legal remedies available to the customer.

8. CIVIL CONSTRUCTION AND SITE WORKS

Construction work will be based on an agreed scope, specifications, programme and payment schedule. The agreement should allocate responsibility for site access, permits, approvals, utilities, safety coordination and completion requirements.

Changes to the scope, design or materials must follow the agreed variation process. Each party remains responsible for its own legal and safety obligations.

9. CANCELLATIONS, RETURNS AND REFUNDS

Contact us promptly to request an order change, cancellation, return or refund. Any contractual cancellation charges must have been agreed in advance, be lawful and reflect the circumstances of the transaction.

Please report incorrect, damaged or defective goods with the order reference and supporting information where available. A request to report promptly does not itself shorten a statutory claim period.

Applicable cancellation, refund, replacement and other statutory rights take priority over contractual restrictions, including restrictions concerning deposits or specially ordered goods.

10. WARRANTIES AND SERVICE CONCERNS

Any express product warranty or service guarantee will be identified in the quotation or contract. Manufacturer warranties, where applicable, supplement rather than automatically replace our obligations under law.

If a product or service does not meet the agreed requirements, contact us with the relevant details so the issue can be assessed and an appropriate remedy determined under the agreement and applicable law.

11. INTELLECTUAL PROPERTY AND CONFIDENTIALITY

Our branding and protected website materials must not be misused or reproduced commercially without appropriate permission, except where the law allows. Third-party rights remain with their respective owners.

Confidential technical or commercial information shared for an enquiry or project should be used only for that purpose and disclosed only as authorised, as necessary to fulfil the agreed work under appropriate confidentiality arrangements, or as required by law.

12. PRIVACY

Personal information must be handled in accordance with applicable data protection law. Our Privacy Policy [insert link] explains how information is collected and used, who may receive it, retention arrangements and how individuals can exercise their rights.

Using the website does not by itself amount to consent to unrelated marketing or every form of personal data processing.

13. WEBSITE AVAILABILITY AND LIABILITY

We take reasonable care when preparing website information, but availability and content may change. We do not guarantee uninterrupted website access. Website content is not a substitute for product-specific instructions or an assessment of a particular project.

Responsibility for losses arising from a supply or service contract is governed by that agreement and applicable law. Nothing in these Terms excludes liability for fraud or removes rights or liabilities that cannot lawfully be excluded or restricted.

14. EVENTS BEYOND REASONABLE CONTROL

If an event beyond a party’s reasonable control affects performance, that party should notify the other promptly and take reasonable steps to reduce the impact.

Any extension, cancellation or refund will be handled under the agreed contract and applicable law. This clause does not automatically remove obligations relating to payments already received.

15. CHANGES TO THESE TERMS

We may update these Terms and publish a revised effective date. Updated terms will apply prospectively and will not change an existing agreement without the agreement of the parties or another lawful contractual basis.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

16. GOVERNING LAW AND DISPUTES

These Terms and agreements incorporating them are governed by the laws of Ghana, subject to any mandatory rules that apply.

Please contact us first if a concern arises so that we can seek a practical resolution. The parties may agree to mediation. This does not prevent either party from seeking urgent relief or exercising legal rights.

Unless a valid agreement provides otherwise, disputes may be referred to the competent courts of Ghana, subject to mandatory jurisdiction rules.
